Notes on the process of registering as an Incorporated Association
I’ve investigated the process of incorporation and made a few executive decisions in order to move through the various stages, understand them, and be in a position to report back to the Group. All of these decisions may be changed later, as required.
Step-by-step guide for registering an incorporated association in Victoria.
The process is managed by Consumer Affairs Victoria (CAV):
- Understand the Requirements for Incorporation
An incorporated association must be a not-for-profit organization that meets certain eligibility criteria and have at least five members and operate primarily within Victoria. - Draft the Rules of the Association
The association must have a set of rules (a constitution) governing its operation. This can be the Model Rules provided by CAV or a custom set.
For simplicity and reasons of cost ($85 approx) we have chosen to use the ‘model rules’. If we choose to create custom rules (cost $450 approx) we must ensure they meet the minimum requirements under the Associations Incorporation Reform Act 2012.
- Hold a Meeting to Approve the Rules and Authorize Incorporation
Hold an initial meeting with the founding members to approve the association’s rules and the decision to incorporate.
Designate a public officer—a person responsible for lodging documents and acting as the association’s representative with CAV.
- Select a Name for the Association
Choose a name that is unique and acceptable under Victorian laws. You can check for name availability on the Consumer Affairs Victoria website. - Complete the Application for Incorporation
Apply online via the myCAV portal. You’ll need details about the association’s name, purpose, rules, and members.
The public officer is responsible for submitting the application.
- Pay the Required Fee (we’ve halted the process prior to fee payment)
An application fee ($40 approx) is required to complete the registration. The fee varies and can be checked on the CAV website. - Receive the Certificate of Incorporation
Once the application is processed and approved, CAV will issue a Certificate of Incorporation and assign an Incorporated Association Number (IA number).
Additional Considerations
- After incorporation, the association must follow annual reporting and compliance requirements.
- Consider registering with the Australian Charities and Not-for-profits Commission (ACNC) if you intend to operate as a charity.

To register an incorporated association in Victoria, Australia, the application fee as of recent guidelines is $39.20. This fee is required to be paid online through Consumer Affairs Victoria’s myCAV portal, where the application process is also managed. Payment can be made by Visa or Mastercard, or alternatively by cheque at an Australia Post outlet through Post Billpay if an invoice is generated

Model Rules
The Model Rules for an incorporated association in Victoria are a set of default rules provided by Consumer Affairs Victoria. These rules outline the basic governance and operational framework for associations and are designed to comply with the Associations Incorporation Reform Act 2012. Associations can adopt these Model Rules as-is or modify them to suit their needs, as long as they still meet the legal requirements.

Outlines the process for admitting new members, maintaining a membership register, and handling resignations or expulsions.
General Meetings:
Specifies how and when general meetings, including annual general meetings (AGMs), are to be conducted.

Sets up the structure of the committee responsible for managing the association, including positions such as President, Secretary, and Treasurer.

Outlines the association’s requirements for maintaining financial records, annual financial reporting, and handling funds.
Details procedures for audits and submitting an annual statement to Consumer Affairs Victoria.
Dispute Resolution:
Provides a standard procedure for resolving disputes between members or between members and the committee.
Alteration of Rules:
Includes the process for amending the Model Rules if the association decides to modify them in the future.
The Model Rules are helpful because they cover legal compliance and operational basics, making it easier for new associations to get started. Associations that adopt these rules are automatically compliant with the Act, which reduces administrative overhead.
